Welcome to Alfajiri (the "Service"), a cloud-based business management platform designed to help small and medium businesses manage inventory, sales, quotations, customers, suppliers, stores, and related operations.

These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", "User", "Customer") and Eclipse Tech Labs, a company registered in Tanzania with registration number [Number] ("we", "us", "our", "Company").

By accessing, registering for, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

Account – the personalized access to the Service created under your registration.
Subscription – paid or free plan granting access to certain features for a defined period.
Data – all information, files, content you upload, enter or generate through the Service (business names, products, customers, sales, quotations, financial data, etc.).
Users – your employees, collaborators, or any person you authorize to use the Service under your Account.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
Businesses must be legally registered entities or sole proprietorships.

3. Account and Security

3.1 You are responsible for maintaining the confidentiality of your account credentials.
3.2 You must immediately notify us of any unauthorized use of your account.
3.3 We are not liable for any loss or damage arising from your failure to secure your account.
3.4 You may not share your account with persons outside your organization unless explicitly permitted by the Subscription plan.

4. Acceptable Use

You agree NOT to:

use the Service for any illegal purpose or in violation of any applicable law
upload viruses, malware, or any other harmful code
attempt to gain unauthorized access to any part of the Service or other users' data
scrape, copy, or systematically extract data from the Service (except your own Data)
use the Service to send spam, bulk unsolicited messages, or conduct phishing
impersonate any person or entity
use the Service to store or transmit infringing, defamatory, obscene, or otherwise unlawful material

5. Your Data & Data Responsibility

5.1 You retain ownership of all Data you upload or create in the Service.
5.2 You grant us a worldwide, non-exclusive, royalty-free license to store, process, transmit, backup, and display your Data solely as necessary to provide, maintain, protect, and improve the Service.
5.3 You are solely responsible for the accuracy, quality, legality, and appropriateness of all Data you enter into the Service.
5.4 We do not verify the correctness of prices, taxes, customer information, stock quantities, or any financial calculations you enter.

6. Subscriptions & Payments

6.1 Some features require a paid Subscription.
6.2 Prices, features, and billing periods are published on our pricing page and may change with 30 days' notice.
6.3 All fees are non-refundable except as expressly stated in these Terms or required by law.
6.4 We may suspend or terminate your access if payment is overdue by more than 14 days.

7. Intellectual Property

7.1 The Service, source code, design, trademarks, and all content we provide (excluding your Data) remain our exclusive property.
7.2 You may not copy, modify, reverse engineer, decompile, or create derivative works of the Service.

8. Confidentiality

Both parties agree to keep each other's Confidential Information secure and use it only for purposes related to these Terms.

9. Termination

9.1 You may terminate your Account at any time.
9.2 We may suspend or terminate your access immediately if you materially breach these Terms.
9.3 Upon termination we will make commercially reasonable efforts to allow you to export your Data for 30 days (export functionality depends on your plan).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND.
10.2 WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
10.3 OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10.4 WE ARE NOT RESPONSIBLE FOR ANY BUSINESS LOSSES, LOST PROFITS, DATA LOSS, TAX CALCULATION ERRORS, WRONG INVENTORY COUNTS, OR ANY FINANCIAL DECISIONS MADE USING THE SERVICE.

11. Indemnification

You agree to indemnify, defend, and hold us harmless from any claim, loss, liability, or expense arising from:

your breach of these Terms
your Data
your violation of third-party rights
your use of the Service in violation of law

12. Data Processing & Privacy

Our use of your personal data and your business data is governed by our Privacy Policy [link], which forms an integral part of these Terms.

13. Force Majeure

We shall not be liable for any failure or delay caused by events beyond our reasonable control (natural disasters, war, government actions, prolonged internet outages, etc.).

14. Changes to Terms

We may update these Terms from time to time.
We will notify you of material changes via email or in-app notification at least 30 days before they become effective (unless the change is required by law).

Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of United Republic of Tanzania.

Any disputes shall be resolved exclusively in the courts of Dar es Salaam.
